Globe Takers Academy: Facilitator & Mentor Terms and Conditions Welcome to Globe Takers Academy. If you are signing up, onboarding, or contracting as a facilitator, instructor, or mentor ("Facilitator," "Mentor," "you," or "your") on our online platform or within our hybrid learning programs, you agree to be bound by these Facilitator and Mentor Terms and Conditions ("Terms"). These Terms constitute a binding legal agreement between you and Globe Takers Academy (“the Academy,” “we,” or “us”). 1. Independent Contractor Relationship No Employment Relationship: Your engagement with the Academy is strictly as an independent contractor or partner. Nothing in these Terms creates a partnership, joint venture, employer-employee, or agency relationship between you and Globe Takers Academy. Taxes and Levies: As an independent contractor, you are solely responsible for all personal or corporate income taxes, statutory deductions, or levies applicable to your earnings under the laws of the Federal Republic of Nigeria. 2. Service Delivery & Professional Conduct Curriculum Adherence: You agree to deliver your training sessions, mentorship tracks, or assessments in alignment with the schedules, learning benchmarks, and quality standards established by the Academy. Professionalism: You agree to maintain the highest standards of professional integrity, punctuality, and respect when interacting with students, parents, and Academy staff. Safe Learning Environment: The Academy maintains a zero-tolerance policy for harassment, discrimination, exploitation, or inappropriate personal relationships with students, particularly minors. Any violation will result in immediate termination of your contract and removal from the platform. 3. Intellectual Property (IP) Academy Materials: All templates, platform code, branding, student data, and foundational lesson structures provided to you by the Academy remain the exclusive property of Globe Takers Academy. Content Contributed by You: Unless otherwise agreed in a separate written contract, any original lecture notes, slides, video recordings, or resources you create and upload specifically for use on the Academy's platform remain your property, but you grant the Academy a non-exclusive, worldwide, royalty-free, perpetual license to host, distribute, stream, and archive that content for educational purposes. You guarantee that any content you upload does not infringe upon the copyrights, trademarks, or intellectual property rights of any third party. 4. Student Data Privacy & Confidentiality Data Privacy Compliance: In the course of your mentorship or teaching, you may have access to students' personal information, contact details, grades, and performance metrics. You must treat this information as strictly confidential. No External Sharing: You are prohibited from sharing student data, email lists, or contact details with external third parties or using student data to market non-Academy products, services, or personal training programs without express written consent from the Academy management. 5. Financial Terms & Compensation Payout Structures: Compensation, session rates, or revenue-share models (where applicable) will be detailed in your specific onboarding contract or dashboard setup. Payment Processing: Disbursals will be processed securely through the Academy's approved third-party payment gateways or direct bank transfers to verified Nigerian bank accounts, subject to the completion of your scheduled modules or milestones. 6. Non-Solicitation and Poaching Direct Dealing Prohibited: To protect the Academy's operational investment, you agree that during your engagement with the Academy, you will not solicit, induce, or attempt to divert students or corporate placement partners away from Globe Takers Academy into competing individual or external training programs. 7. Termination & Account Suspension Termination for Convenience: Either party may terminate this relationship by providing fourteen (14) days' written notice to the other party via email. Termination for Cause: The Academy reserves the right to suspend or terminate your access to the platform immediately and without prior notice if you breach these Terms, fail to deliver scheduled sessions repeatedly without valid communication, or engage in behavior that harms the reputation of the Academy. 8. Governing Law & Dispute Resolution These Terms are governed by and construed in accordance with the laws of the Federal Republic of Nigeria. Any dispute arising from these Terms that cannot be settled amicably shall be subject to the exclusive jurisdiction of the competent courts in Abuja, Federal Capital Territory (FCT). 9.
